3. Quotations and Proposals

Any quotation or proposal provided by Prime Edge is based on the information and requirements available at the time it is prepared.

Prices may change where:

  • the project scope changes;
  • additional services or materials are requested;
  • quantities are increased;
  • timelines are changed;
  • venue or supplier costs change; or
  • circumstances arise that were not reasonably known when the quotation was prepared.

No additional work will normally be undertaken without agreement between Prime Edge and the client.

4. Project Confirmation

A project will only be considered confirmed once the required quotation, proposal, purchase order, advance payment or other agreed confirmation has been received.

Prime Edge may reserve dates, suppliers, production capacity or resources only after project confirmation.

Availability cannot be guaranteed until confirmation has been completed.

5. Payments

Payment terms will be communicated in the relevant quotation, invoice or agreement.

Clients are responsible for making payments according to the agreed schedule.

Prime Edge may suspend production, procurement, delivery or event preparation where payments remain outstanding.

Any bank charges, taxes, duties or other applicable charges may be added where required.

6. Client Responsibilities

The client is responsible for providing accurate and timely information required to complete the project.

This may include:

  • branding files and artwork;
  • event schedules;
  • venue information;
  • approvals;
  • guest or attendance information;
  • technical requirements;
  • product specifications; and
  • other information reasonably required by Prime Edge.

Prime Edge will not be responsible for delays caused by incomplete, inaccurate or late information supplied by the client.

7. Artwork, Branding and Approvals

Where Prime Edge produces printed materials, signage, branding, promotional items or custom products, the client may be asked to approve artwork, specifications or samples before production.

Once approval has been provided, Prime Edge will not normally be responsible for errors that were visible in the approved artwork or specification.

Changes requested after approval may result in additional costs or delays.

8. Events and On-Site Services

For events, activations and on-ground projects, Prime Edge will make reasonable efforts to deliver the agreed services according to the approved plan.

However, event execution may be affected by circumstances outside our control, including:

  • venue restrictions;
  • weather conditions;
  • government regulations;
  • power failures;
  • transportation delays;
  • supplier failures;
  • security restrictions; or
  • other unexpected circumstances.

Where reasonably possible, Prime Edge will work with the client to identify an appropriate alternative solution.

9. Changes and Cancellations

Any request to change, postpone or cancel a confirmed project should be communicated to Prime Edge as early as possible.

The financial impact of a cancellation or postponement will depend on the stage of the project and any costs already incurred.

Non-refundable costs may include supplier deposits, venue charges, printing, fabrication, purchased materials, customized products, labour or other third-party commitments.

Any applicable cancellation or rescheduling terms will normally be stated in the relevant quotation or agreement.

10. Third-Party Suppliers

Prime Edge may work with venues, vendors, caterers, fabricators, printers, logistics providers, technicians and other third parties when delivering a project.

While we take reasonable care when selecting suppliers, some services may ultimately be provided by independent third parties.

Prime Edge will not be responsible for matters outside its reasonable control arising from the actions, delays or failures of third-party suppliers.

11. Customized Products

Customized, printed, engraved or made-to-order products are created specifically according to the client’s requirements.

Once production has started, such items may not be cancelled, returned or changed unless otherwise agreed.

Minor differences in colour, material, dimensions or finish may occur due to manufacturing and production processes.

12. Intellectual Property

Unless otherwise agreed in writing, all intellectual property owned by Prime Edge before a project begins remains the property of Prime Edge.

Clients remain responsible for ensuring that any logos, photographs, trademarks, artwork or other materials supplied to Prime Edge can legally be used for the project.

Prime Edge may retain ownership of concepts, designs or creative materials that have not been purchased, approved or fully paid for.

13. Portfolio and Project Photography

Prime Edge may photograph completed projects, installations, events or production work for internal records, portfolio use or marketing purposes unless the client has requested otherwise in writing.

Where confidentiality applies, such material will not be intentionally published contrary to an agreed confidentiality obligation.

14. Confidentiality

Prime Edge will take reasonable care to protect confidential business information provided by clients.

Clients are also expected to respect confidential information, pricing, proposals, concepts and commercial information provided by Prime Edge.
